Terms of Service

1. Agreement
These Terms are a contract between you (and any organisation you represent) and MetaBinary Limited, a company registered in Ireland (CRO 806119, VAT IE4698974FH), Office 40 — Boxworks, 40–44 Patrick Street, Waterford, X91 X3KF, Ireland (“UnspoolCode”, “we”). By creating an account, installing, or using the service you agree to them. If you do not agree, do not use the service.
2. The service
UnspoolCode is a dependency-graph and migration platform for legacy VB6 codebases. It parses your VB6 project into an interactive call/dependency graph, detects dead code, exposes that graph to AI coding agents (such as Claude) through an MCP tool server so they can query it directly instead of reading raw source files, and provides migration execution tooling (translation of VB6 to TypeScript or C#, including a COM interop bridge for the C# target, with batch orchestration under dry-run/confirm gates). UnspoolCode ships today as software you install and run yourself; a hosted early-access version is planned but not yet generally available. Features vary by how you deploy the service and by plan.
3. Advisory nature — important
UnspoolCode provides decision support based on static analysis of your source code — parsed dependency graphs, dead-code findings, migration plans, and generated TypeScript/C# output. Its findings, graphs, and generated code are estimates and drafts, not guarantees or certified results. In particular: the confirm/dry-run gates on write operations exist to let you preview a change before it is applied, not to certify the change is correct; a migration unit's verification checklist can report a passing status on compiled, tested, human-approved criteria while its recorded runtime status for COM interop remains unverified pending an actual Windows runtime check (an interop bridge can compile cleanly on our build infrastructure and still fail to activate correctly against a real VB6 caller until that Windows-side verification has actually been run). You are responsible for reviewing every finding, every generated graph edge, and every line of generated migration code against your own engineering judgement and testing before relying on it — including before deploying migrated code to production, retiring VB6 source you believe is dead code, or treating a COM interop bridge as verified at runtime. UnspoolCode is not a substitute for qualified code review and does not certify functional equivalence, correctness, or fitness for any particular use.
4. Accounts
Where the service requires an account or access token (including a self-hosted install's shared bearer token, or, once available, an account on the hosted app), you must provide accurate details where applicable, keep your credentials secure, and are responsible for activity under your account or access token. You must be able to form a binding contract to use the service.
5. Plans, billing & cancellation
UnspoolCode is currently offered as early access via a waitlist; no purchase flow is live as of this policy's last-updated date. This section describes how billing will work once paid plans exist. Paid plans would be billed in advance on a recurring basis through our payment processor. Prices would be shown before you subscribe and may be in USD, EUR or GBP depending on your region; taxes may be added where applicable. You would be able to cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, fees already paid would be non-refundable. The service is intended for businesses: by subscribing you would confirm you are acting in the course of a trade, business, craft or profession (a sole trader subscribing for business purposes is a business customer). If, exceptionally, you subscribe as a consumer, you have a 14-day right of withdrawal under EU law; by requesting immediate access to the service you consent to performance beginning at once and acknowledge the withdrawal right is lost once the service is fully performed. Self-hosted use of UnspoolCode does not require a paid plan today. We may introduce or change prices with notice; changes would apply from your next renewal.
6. Your content & our intellectual property
You keep all rights to the source code and data you upload or connect (“Your Content”). You grant us a limited licence to process Your Content solely to provide the service to you, as described in theApp Privacy Policy. We and our licensors own the service, software, parsers, MCP tooling, and all associated intellectual property, including the UnspoolCode and MetaBinary names and marks; nothing here transfers it to you. You may not copy, resell, reverse-engineer, or create derivative works from the service except as the law expressly permits. Code generated by the migration tooling from Your Content (translated TypeScript/C# output, interop bridge code) is part of Your Content and belongs to you, subject to any third-party licences in code the tooling incorporates.
7. Acceptable use & export control
You agree to the Acceptable Use Policy. You are responsible for compliance with applicable law for the source code and data you process — including confidentiality and NDA obligations, and export-control or sanctions rules where they apply to your codebase (some legacy systems, particularly in banking, government, or defence-adjacent sectors, may be subject to such rules). Do not upload code you are not authorised to share to a hosted instance of the service; a self-hosted install keeps your code on your own infrastructure for exactly this reason.
8. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that findings, graphs, or generated migration code will be accurate, complete, functionally equivalent to your original VB6 code, or suitable for production use. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including certain consumer rights.
9. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data loss, remediation cost, production incidents, or business interruption, arising from your use of or reliance on the service, including reliance on any finding, dependency graph, dead-code determination, or generated migration code. Our total aggregate liability for any claim is limited to the amount you paid us for the service in the 12 months before the event giving rise to the claim (or, for use of the service at no charge, to €100).
10. Suspension & termination
You may stop using the service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law, with notice where practicable. On termination your right to use the service ends; export your data first (see the App Privacy Policy). Termination does not affect a self-hosted install already running on your own infrastructure.
11. Governing law
These Terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, without prejudice to mandatory consumer protections in your country of residence.
12. Changes
We may update these Terms; material changes will be notified in-app or by email and take effect on the date stated. Continued use means acceptance.
